Clyents Terms of Use

Effective Date: April 22, 2025

Welcome to Clyents. These Terms of Use (“Terms”) govern your access to and use of the Clyents platform, which includes all content, features, and services offered on our website and mobile application (collectively, the “Platform”). Please read these Terms carefully before accessing or using the Platform. By registering for an account or using Clyents, you agree to be bound by these Terms. If you do not agree, you may not use the Platform.

1. Acceptance of Terms
By creating an account or using the Clyents Platform, you confirm that you are at least 18 years old and capable of entering into a legally binding agreement. If you are accessing the Platform on behalf of a company or organization, you represent that you have the authority to bind such entity to these Terms. Your use of the Platform constitutes your acceptance of these Terms and your acknowledgment that you have read, understood, and agree to comply with them.

2. Accounts and Registration
Account Creation
To use the Platform, you must create an account by providing accurate, complete, and current information. You are solely responsible for maintaining the confidentiality of your account credentials.

Account Use
You are responsible for all activities that occur under your account. Clyents shall not be liable for any loss or damage arising from unauthorized access to your account. You agree to promptly notify Clyents of any unauthorized use of your account or any breach of security.

3. User Responsibilities
By using Clyents, you agree to:
  • Use the Platform only for lawful purposes and comply with all applicable laws and regulations.
  • Provide accurate and truthful information during registration and when submitting leads or creating content.
  • Use the Platform solely for legitimate business referrals and refrain from fraudulent, spamming, or unauthorized marketing activities.
  • Avoid actions that may compromise the integrity of the Platform, including hacking or disseminating malware.

4. Acceptable Use
You may use Clyents to:
  • Manage and share business referrals.
  • Create and distribute informational content.
  • Utilize platform tools for lead generation and management.
  • Create and maintain profiles, including professional bios and images.
  • Post, share, and interact with content, such as articles and marketing materials.
  • Engage in direct communication with other users.

5. Restrictions
The following activities are strictly prohibited on Clyents:
  • Engaging in illegal, fraudulent, or deceptive activities.
  • Uploading or transmitting harmful code (e.g., viruses, malware).
  • Impersonating another user or providing false information.
  • Harvesting or collecting data from other users without their explicit consent.
  • Interfering with the platform’s security or functionality.

 You may not:
  •  Reverse-engineer, decompile, or attempt to derive the source code of the Platform.
  • Sell, transfer, or sublicense access to the Platform without Clyents' explicit written permission.
  • Exploit the Platform for unlawful purposes.

6. Right to Suspend or Terminate
Clyents reserves the right to suspend or terminate accounts involved in prohibited activities. Content posted on Clyents must comply with all applicable laws and these Terms of Use. Clyents reserves the right to remove any content deemed inappropriate or in violation of the Terms.

7. Sensitive Data Collection and Privacy
When using the Clyents Platform, you may be required to provide certain personal and sensitive information, including:
  • Client contact information
  • Lead data
  • Billing information

By using the Platform, you consent to Clyents collecting, storing, and processing this data in accordance with our Privacy Policy. You agree to:
  • Ensure any client data you submit is accurate and that you have obtained proper consent.
  • Comply with all applicable data protection laws, including GDPR, CCPA, or any other regional privacy regulations. 
  • Understand that unauthorized access or misuse of sensitive data is strictly prohibited. Any breach of this policy may result in suspension or termination of your account. For more information on how Clyents protects your data, please refer to our Privacy Policy. 

International Data Transfers
Clyents may transfer personal data internationally and complies with GDPR by implementing appropriate safeguards, including Standard Contractual Clauses (SCCs). 

Data Subject Access Requests (DSARs)
Under both CCPA and GDPR, you possess certain rights regarding your personal data, including the right to access, rectify, delete, and opt-out of data sales.

Sensitive Data Collection and Privacy
When using the Clyents platform, you may be required to provide certain personal and sensitive information, such as: Client contact information Lead data Billing information. By using the platform, you consent to Clyents collecting, storing, and processing this data in accordance with our Privacy Policy and applicable laws, including the California Consumer Privacy Act (CCPA) and General Data Protection Regulation (GDPR). 


Data Subject Access Requests (DSARs)
Under both CCPA and GDPR, you possess the following rights: 
  • Right to Know (CCPA): You have the right to request information regarding the personal data Clyents collects, including its usage and sharing practices. 
  • Right to Access (GDPR): You have the right to access the personal data we maintain about you and request a copy in a machine-readable format. 
  • Right to Delete: You may request that Clyents delete your personal data, subject to certain exceptions (e.g., legal obligations). 
  • Right to Opt-Out (CCPA): You may opt-out of the sale of your personal data. Right to Rectification (GDPR): You have the right to request corrections to any inaccurate or incomplete personal data. 
  • Right to Object or Restrict Processing (GDPR): You may request to restrict the processing of your data or object to its use under certain circumstances. 
  • Right to Data Portability (GDPR): You have the right to request that your personal data be transferred to another service provider in a structured, commonly used, machine-readable format.

Breach Notification (GDPR):
In the event of a data breach, Clyents will notify applicable regulatory authorities within 72 hours and inform affected users as mandated by law if the breach poses a high risk to your rights and freedoms. 

Privacy Policy and Consent Your use of the platform is governed by our Privacy Policy, which outlines how we collect, store, use, and protect your personal and client information. The collection of any personal data is based on your explicit consent, and you may withdraw this consent at any time by contacting us.

8. Lead Submission 
When submitting leads to the Platform, you represent and warrant that:
  • You have obtained all necessary permissions and consents from the leads (clients) to allow Clyents, its Vendors, and service agents to contact and offer services.
  • You ensure that leads are submitted accurately and are legitimate. 
  • You will maintain the confidentiality of client data and refrain from sharing it without proper authorization.

9. Permissions for Contacting Leads 
By submitting leads, you grant Clyents, its Vendors, and service agents the right to: 
  • Solicit, contact, and offer services to the clients associated with the leads. 
  • Communicate with leads through various means, including phone calls, emails, or other forms of outreach, in accordance with applicable laws. 
  • You acknowledge and agree that Clyents and its Vendors are entitled to contact and solicit any lead submitted through the platform to facilitate service offerings.

10. Solicitation of Leads
By using the Clyents platform, you agree that Clyents, its Vendors, and authorized service agents may: 
  • Solicit leads provided by you through the platform for the purposes of offering relevant services. 
  • Engage in direct marketing and promotional activities directed at the leads submitted, provided it complies with all applicable laws and regulations, including anti-spam legislation. 
  • Clyents will use commercially reasonable efforts to ensure that any solicitations comply with legal requirements. However, you are responsible for ensuring that the leads you submit have consented to being contacted.

11. Payment and Fees
Payment StructureVendors are charged based on successful transactions (“closed deals”) resulting from referred leads. Fees are calculated as a percentage of the revenue generated.

Associates Compensation
Associates will receive compensation based on closed deals as specified in the Clyents profit-sharing model.

​Billing

All fees will be communicated transparently before charges are made. Failure to pay may result in suspension or termination of your account.

10. Intellectual Property Rights
Clyents retains all intellectual property rights to the platform, including but not limited to software, designs, graphics, and text. You may not reproduce or distribute any part of the platform without Clyents' express written consent. 

By uploading or posting content, you grant Clyents a worldwide, non-exclusive license to use, display, and distribute such content as necessary to operate the platform.

11. Termination
Clyents reserves the right to terminate or suspend your access to the platform for any reason, including violation of these Terms or inactivity. Upon termination, any outstanding payments owed to Clyents or the user will remain due and payable.

12. Limitation of Liability
To the fullest extent permitted by law, Clyents shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the platform, including loss of revenue, profits, or data.

13. Disclaimer of Warranties
Disclaimer of Warranties Clyents provides the platform on an “as is” and “as available” basis without warranties of any kind, either express or implied. Clyents does not warrant that the platform will be uninterrupted, error-free, or secure. 

14. Changes to Terms of Use
Changes to Terms of Use Clyents reserves the right to amend these Terms of Use at any time. If substantial changes are made that affect your rights under CCPA or GDPR, you will be notified, and such changes will take effect immediately upon posting. Your continued use of the Platform following such changes constitutes acceptance of the revised terms. 

15. Governing Law and Dispute Resolution
These Terms of Use shall be governed by and construed in accordance with the laws of [Jurisdiction]. Any disputes arising from or relating to these Terms shall be resolved through binding arbitration, except for matters that may be brought before a court of competent jurisdiction. 

16. Privacy Policy
Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information.
